## What does VSO mean in the context of a dismissal process?

VSO is the standard abbreviation for vaststellingsovereenkomst (settlement agreement). In the event of dismissal, it is a written proposal in which the employer and employee agree on how and when the employment relationship will end.

A settlement agreement (VSO) is not a dismissal decision issued by UWV or the sub-district court. The agreement is only concluded if both parties consent. You are therefore free to have the proposal reviewed, suggest changes, or refuse to sign it.

## How does dismissal via a settlement agreement work?

The process usually consists of five distinct steps.

### 1. Employer makes a proposal

Your employer explains why they wish to terminate the employment and sends a draft settlement agreement. This marks the start of negotiations, not a mandatory decision.

### 2. You assess your position

Check the reason for dismissal, your employment contract, any illness, the notice period, and your potential entitlements before responding to the substance of the proposal.

### 3. Parties negotiate

You can request changes regarding, for example, the end date, severance pay, release from work duties, legal costs, and restrictive covenants.

### 4. Agreements are recorded in writing

The final settlement agreement is signed only once both parties are in agreement. Verbal commitments should be included in the agreement.

### 5. Cooling-off period and implementation

In principle, an employee has a fourteen-day cooling-off period after signing. Subsequently, the agreements are implemented, followed by the final settlement.

## Difference compared to dismissal via UWV or the sub-district court

### Dismissal via a settlement agreement

- Both employer and employee must consent
- The parties determine the terms together
- There is room to negotiate compensation and clauses
- Proceedings before UWV or a court are usually unnecessary

### Dismissal via formal proceedings

- The UWV or sub-district court assesses the dismissal
- The employer must substantiate a statutory ground for dismissal
- The outcome and duration are less predictable
- The statutory procedure determines how the employment ends

## Are you obliged to sign a settlement agreement?

No. A settlement agreement is based on mutual consent. You can agree, make a counter-proposal, or refuse. If you refuse, the employment contract remains in force in principle, and the employer must decide whether to pursue a different dismissal route.

Do not base your decision solely on the compensation offered. Factors such as your unemployment benefit status, the termination date, any incapacity for work, and restrictive covenants can also carry significant weight.

### Initial response to a proposal

- Simply acknowledge receipt of the proposal
- Do not sign anything and do not resign yourself
- Ask for sufficient time to seek legal advice
- Remain available for work unless agreed otherwise in writing
- Always put verbal agreements in writing

What does VSO stand for?

VSO stands for vaststellingsovereenkomst (settlement agreement). In the context of dismissal, the term is often used to refer to a termination agreement reached by mutual consent.
